Agreement & parties
These Terms of Service (the “Terms”) form a binding agreement between you (“you”, “Customer”) and CodeOn, the company behind the website https://codeon.ge(the “Service”). By creating an account, ordering a license, downloading a plugin ZIP, or activating a license on a WordPress install, you agree to be bound by these Terms.
If you are buying on behalf of an organisation, you confirm you have authority to bind that organisation, and references to “you” mean both you personally and the organisation.
Definitions
- Plugin
- Any single-purpose WooCommerce extension distributed under the CodeOn brand — for example CodeOn Georgian Payments (TBC + BoG card and installments, Flitt), Fina ↔ WooCommerce, 1C ↔ WooCommerce, and QuickShipper Delivery.
- License
- A time-limited, domain-bound right to receive updates and support for a specific Plugin. The License is what you pay for; the Plugin source itself is published under GPL-3.0 on GitHub.
- Watermarked ZIP
- A signed, per-customer build of a Plugin that embeds your license key, build id, and order metadata. Re-distribution of a Watermarked ZIP is traceable to your account.
- Domain
- A WordPress site identified by its primary URL (without trailing slash). One License binds to one Domain at a time.
- Term
- The active period of a License — by default 365 days from the date of order completion, unless stated otherwise on the product page.
License grant & scope
Subject to these Terms and timely payment, we grant you a non-exclusive, non-transferable, non-sublicensable License to install and run the Plugin on one (1) production Domain for the duration of the Term, plus any number of staging or local development copies of the same Domain (e.g. staging.example.ge, localhost).
The Plugin source is licensed under GPL-3.0 separately from this commercial License. Nothing in these Terms restricts the rights granted by the GPL-3.0 to the source code; this License governs the commercial relationship (updates, support, watermarked builds, license-server access).
You may move the License from one Domain to another at any time by contacting support — useful for migrations, re-platforming, or replacing a host. We don't charge a transfer fee.
Account & license keys
Each customer holds a single account on codeon.ge identified by a verified email address. License keys are visible inside your account dashboard at /account/licenses. You are responsible for keeping your password and license keys secure.
You must give us accurate billing details and update them when they change. If we can't reach you on the email of record (e.g. your domain expired), we may pause License renewals until contact is restored.
Orders, pricing & payment
All prices are shown on the product page in Georgian Lari (GEL) and are inclusive of any applicable Georgian VAT unless we state otherwise. Currency conversion to other currencies, where offered at checkout, is handled by the payment provider at their published rate.
We accept payment via the providers listed at checkout (currently TBC, Bank of Georgia, and Flitt). Card data is processed end-to-end by the bank or payment processor; CodeOn never sees full card numbers, CVVs, or 3-D Secure codes. See our Privacy notice for details.
An order is binding once payment is captured and the corresponding License row appears in your account. We may decline an order without giving reasons (e.g. suspected fraud); in that case any captured funds are refunded in full within five (5) business days.
Renewals, expiry & grace period
A License is sold for a fixed Term (default 365 days). Toward the end of the Term we'll email a renewal reminder at least seven (7) days before expiry, with a renewal link. There is no auto-renewal— you renew by clicking the link and paying again. We'll never charge your card without you actively confirming the renewal.
When a License expires, the Plugin enters a 14-day grace period. During grace, the Plugin keeps working in full and you keep getting updates. After day 14, the Plugin disables update checks and shows an admin notice; the checkout / sync / shipping logic itself keeps running so your customers don't see errors. You can renew at any time and updates resume immediately.
Refund policy
We offer a no-questions 14-day refund window from the date of order completion. If the Plugin doesn't fit your store, email [email protected]within 14 days and we'll refund the full amount to the original payment method.
After the 14-day window we'll still consider refund requests on a case-by-case basis — especially if a specific bug or incompatibility prevents the Plugin from doing its core job and we can't fix it within a reasonable time. Refunds for renewals follow the same 14-day window from the renewal date.
Refunds are not available where (a) the License has been materially used to process live transactions through a connected gateway and the refund window has passed, or (b) the License was suspended for breach of these Terms.
Updates, support & SLAs
For the duration of an active License you receive: signed update manifests, watermarked update ZIPs over HTTPS, and email support at [email protected]. Releases ship continuously from public GitHub repositories and are listed on our changelog.
Support is best-effort and aims for same business dayfirst reply, Monday–Friday, Tbilisi time (excluding Georgian public holidays). We do not currently offer formal uptime SLAs for the license server, but the Plugin is designed to fail gracefully — license checks are cached locally so a brief outage of codeon.gedoesn't block your checkout.
Per-customer watermarking
Every Plugin ZIP we ship is a per-customer build: your license key, order id, and a unique build id are stamped into multiple files inside the archive. Tampering with these stamps puts the Plugin into a degraded recovery mode that keeps WordPress running but disables the licensed features and notifies us automatically.
The Plugin source is GPL-3.0, so you are free to fork the public repository for internal use. What is not permitted is redistributing your Watermarked ZIP, sharing your License key, or modifying the Watermarked build to remove the stamps in order to install it on a Domain other than the one tied to your License. See §10 below.
Acceptable use
You agree not to:
- share, sell, lease, or redistribute a Watermarked ZIP, a License key, or any access credentials for our licensed update channels;
- attempt to bypass, remove, or obscure the watermark, the license check, or the build-stamp telemetry;
- use the Plugin to facilitate transactions that are illegal under Georgian law or the laws of your customers' jurisdiction (including unlicensed gambling, narcotics, or sanctioned goods);
- use the Service to send unsolicited marketing, harvest personal data, or test malware;
- attempt to overload, probe, or otherwise compromise the
codeon.geinfrastructure (including the license-server, AI assistant, and download endpoints).
We may audit a Domain's License usage by querying the telemetry the Plugin sends with each license check (currently: site URL, build id, plugin version, tamper-state). We do not collect order data, customer data, or transaction values from your store.
Third-party services
CodeOn Plugins integrate with services run by third parties — including TBC Bank, Bank of Georgia, Flitt, 1C, Fina, QuickShipper, and (for the AI assistant) Google's Gemini API. We are not responsible for the availability, behaviour, or terms of those services.
When a third-party API changes, we ship an updated Plugin release as quickly as practical — usually within days. If a third party permanently removes a capability the Plugin depends on, we will tell you and, where reasonable, issue a partial refund of the remaining Term.
Intellectual property
The CodeOn name, logo, the website at codeon.ge, and all marketing copy, screenshots, and brand assets are owned by CodeOn. You may reference them factually (e.g. “we use CodeOn TBC Card”) but may not present yourself as an authorised reseller without a separate written partnership.
Plugin source code is licensed under GPL-3.0. Watermarked ZIPs and the build-time tooling (the watermarker, license server, recovery-mode boot code) are proprietary to CodeOn.
Warranty disclaimer
The Plugins and Service are provided “as is”. While we test every release on real WooCommerce installs before tagging, we do not warrant that they will be uninterrupted or error-free, or that they will work with every theme, plugin, or hosting configuration you might use. We strongly recommend running a CodeOn Plugin on a staging copy before activating it on a Domain that takes live payments.
Statutory consumer-protection rights under Georgian law are unaffected by this disclaimer.
Limitation of liability
To the maximum extent permitted by applicable law, our aggregate liability to you under or in connection with these Terms (whether in contract, tort, or otherwise) is capped at the amount you paid CodeOn for the affected License during the twelve (12) months immediately preceding the event giving rise to the claim.
Neither party is liable for indirect, incidental, or consequential losses, including lost profits, lost orders, or reputational harm. Nothing in these Terms excludes liability for fraud, gross negligence, or anything that cannot lawfully be excluded.
Suspension & termination
You may cancel a License at any time from your account; your Term will continue to its natural expiry, after which the Plugin moves into the 14-day grace period (§6).
We may suspend or terminate a License immediately and without refund if you (a) materially breach these Terms (in particular §10 Acceptable use), (b) charge back a successful payment without first contacting [email protected], or (c) use the Plugin to facilitate clearly illegal activity. On termination for breach, your access to updates ends but you keep the GPL-3.0 source rights you already had.
Changes to these terms
We may update these Terms from time to time — for example to reflect new Plugins, payment providers, or regulatory requirements. Material changes will be announced by email to the address on your account at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
Past versions are kept on Git history of the website source repository — ask [email protected] if you need a specific historical revision.
Governing law & disputes
These Terms are governed by the laws of Georgia, without regard to its conflict-of-law rules. Disputes that cannot be resolved by good-faith email negotiation will be submitted to the competent courts of Tbilisi, Georgia.
Nothing in this section limits your right to bring a claim under any mandatory consumer-protection rule that would otherwise apply to you.
